The Ukraine is an emerging and new attractive market for the most of foreign investors. In this report the analysis of different risk factors influencing the foreign investments in small and medium entreprises development in the Ukraine is done. The way of business development in Ukraine differs substantially from practical reality in the majority of western European countries , United States of America and also from situation in other "transition" countries like Russia, Hungary, Poland, Baltic States. Such important factors as financial risks including taxation and accounting risks, payroll taxes, different fines, payment restrictions, securities problems and export limitations are considered. The state of the art in the development of the capital market, treasury bills, insurance strategies is given. The problems of the antimonopoly regulations and corporate law in the development of the new Ukrainian legislation are discussed. The importance of Risk minimization during the privatization tenders process, in property and land ownership aspects for foreign investments in industrial, agricultural and construction business is described. Different risk reduction procedures are proposed. Various recommendations for adaptation of the Ukrainian investment legislation to international standards are given. A new approach for conflict risk management resolution is developed.
